1. Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you and Investing Capital, LLC, doing business as Investing Capital Group ("ICG", "we", "us"). They govern your access to investingcapitalgroup.com, any investor account you create, the Commercial Investor Profile, and any related content, email, or communication we provide (together, the "Services").

By using the Services you agree to these Terms. If you do not agree, please do not use the Services. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity.

2. Not an offer to sell securities

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security. Any offering of securities by ICG or its affiliates is made only to qualified investors through definitive offering documents, including a private placement memorandum, operating agreement, and subscription agreement. Those documents control in all respects, and in the event of any conflict with information on this site, they govern.

Investments in private real estate are speculative, illiquid, and involve risk of loss, including loss of your entire investment. Past performance of any asset, fund, or sponsor is not a guarantee or predictor of future results. Any projections, targets, or return figures shown are estimates based on assumptions that may not be realized.

3. No investment, legal, or tax advice

The content on this site — including articles, portfolio summaries, videos, and educational material — is provided for general informational purposes only. It is not investment advice, legal advice, accounting advice, or tax advice, and it is not tailored to your financial situation or objectives.

You should consult your own attorney, accountant, and financial advisor before making any investment decision. ICG is not acting as your fiduciary, broker-dealer, or registered investment adviser by providing this site to you.

4. Eligibility and accredited investor status

The Services are intended for individuals who are at least 18 years old and legally able to enter into contracts. Certain areas, communications, and opportunities are limited to persons who qualify as "accredited investors" under Rule 501 of Regulation D of the Securities Act of 1933.

If you tell us you are an accredited investor, you represent that the statement is true, and you agree to provide reasonable verification if we request it. We may decline access, withdraw information, or terminate an account if we believe an eligibility representation is inaccurate.

5. Investor accounts

Some features require you to create an account. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

Tell us promptly at cory@investingcapitalgroup.com if you suspect unauthorized use of your account. We may suspend or terminate an account at any time, with or without notice, if we believe it has been used in violation of these Terms or in a way that could harm ICG, other users, or the Services.

6. Commercial Investor Profile submissions

The Commercial Investor Profile is an intake questionnaire. Submitting it does not create an investment, reserve an allocation, obligate ICG to present any opportunity to you, or create an advisory relationship.

You agree that the information you submit is accurate to the best of your knowledge, and that we may contact you by email, phone, or text about your submission and about future opportunities. You can opt out of marketing messages at any time using the unsubscribe link or by emailing us.

7. Acceptable use

You agree not to: use the Services for any unlawful purpose; submit false, misleading, or another person's information; attempt to gain unauthorized access to any account, system, or data; scrape, crawl, or harvest content or contact information by automated means; interfere with or disrupt the Services; reverse engineer any part of the Services; or upload malicious code or content that is defamatory, infringing, or obscene.

We may investigate and take any action we consider appropriate for suspected violations, including removing content, suspending access, and cooperating with law enforcement.

8. Content you provide

You retain ownership of the information, photos, and other content you submit. You grant ICG a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and use that content solely to operate and improve the Services, evaluate your investor profile, and communicate with you.

Do not submit sensitive personal information we do not ask for — including Social Security numbers, government ID numbers, or full account numbers — through the site's forms. We do not request that information through this website.

9. Our intellectual property

The Services, including text, articles, graphics, photographs, logos, video, and software, are owned by ICG or its licensors and are protected by copyright, trademark, and other laws. You may view and print content for your own non-commercial evaluation.

You may not copy, republish, distribute, sell, or create derivative works from our content without our prior written permission. "Investing Capital Group" and our logo are our marks and may not be used without permission.

10. Third-party links and services

The Services link to and rely on third parties — for example, our scheduling page at callwithcory.com, embedded video players, email delivery providers, and cloud hosting. We do not control those services and are not responsible for their content, availability, or practices.

Your use of a third-party service is governed by that provider's own terms and privacy policy.

11. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any content, figure, or projection on the site is complete, current, or accurate.

12. Limitation of liability

To the maximum extent permitted by law, ICG and its members, managers, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or lost business opportunities, arising out of or relating to your use of the Services.

Our total aggregate liability for all claims relating to the Services will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless ICG and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. You and ICG agree to first attempt to resolve any dispute informally by contacting us.

If a dispute cannot be resolved informally, it will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Utah. You and ICG waive any right to a jury trial and to participate in a class action. Either party may bring an individual claim in small claims court.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be posted on this page. Your continued use of the Services after an update means you accept the revised Terms.
